Nexus Website License

This Nexus Website License ("License") governs the use of proprietary content and materials made available through the official Nexus website (the "Website").

The Website and its original content, design, graphics, artwork, documentation, screenshots, branding, source code, and other proprietary materials are created and owned by Nawrass Andaloussi Dahman, except where otherwise stated.

The Website is not an open-source website or content repository. Accessing the Website does not grant ownership of, or unrestricted rights to copy, modify, reproduce, distribute, publish, or commercially exploit its proprietary materials.

1. Scope

This License applies to proprietary materials made available through the official Nexus Website, including, where applicable:

website content and written materials;
website design and layout;
graphics, illustrations, and artwork;
screenshots and product imagery;
logos and branding;
documentation;
original animations and visual effects;
website source code and proprietary implementation;
icons and other visual assets; and
other original materials created for the Nexus Website.

This License does not govern the Nexus desktop application itself. The application is governed separately by the Nexus Software License and the Nexus End User License Agreement.

2. Permitted Use

Subject to this License and applicable law, you may:

access and view the Website for lawful purposes;
read and use publicly available information for personal or internal business purposes;
use publicly available documentation to learn about, install, configure, or use Nexus;
download files that Nexus expressly makes available for download, subject to the license or terms applicable to those files; and
link to publicly accessible Nexus webpages, provided that the link does not falsely imply endorsement, sponsorship, affiliation, or ownership.

These permissions are limited and do not transfer ownership of any Nexus intellectual property.

3. Restrictions

Unless expressly authorized in writing by Nawrass Andaloussi Dahman or permitted by applicable law, you may not:

reproduce substantial portions of proprietary Nexus Website content;
republish, redistribute, mirror, or publicly host proprietary Website materials;
reproduce or commercially reuse proprietary graphics, artwork, screenshots, layouts, or visual designs;
modify, adapt, translate, or create derivative works from proprietary Website materials;
incorporate proprietary Nexus Website materials into another product, website, application, or commercial service;
sell, sublicense, rent, lease, or otherwise commercially exploit proprietary Website materials;
systematically scrape, crawl, collect, or automatically reproduce substantial amounts of Website content, except where permitted by applicable law;
remove, obscure, or alter copyright, trademark, attribution, licensing, or proprietary notices;
use Nexus branding in a misleading manner or in a manner suggesting unauthorized endorsement, sponsorship, affiliation, or ownership;
use proprietary Website materials to develop or provide a competing product or service where prohibited by applicable law or agreement;
circumvent technical, security, authentication, or access-control mechanisms used by the Website; or
use the Website or its proprietary materials for unlawful purposes.

Nothing in this section restricts rights that applicable law expressly grants and that cannot legally be restricted by agreement.

4. Intellectual Property Ownership

Unless otherwise stated, all proprietary intellectual property contained in or associated with the Website remains the property of Nawrass Andaloussi Dahman.

This may include:

the Nexus name;
logos and branding;
website design and layout;
original artwork and graphics;
original written content;
documentation;
screenshots and product imagery;
icons and visual assets;
original animations and visual effects;
website source code;
proprietary website functionality;
website architecture; and
other original materials created for Nexus.

Accessing, viewing, or downloading Website materials does not transfer ownership or any other intellectual-property interest to you.

5. Website Source Code

The Website may include client-side and server-side source code that is proprietary to Nawrass Andaloussi Dahman or licensed from third parties.

Unless expressly released under a separate license, no right is granted to copy, reproduce, modify, redistribute, publish, incorporate, or commercially exploit proprietary Website source code.

Certain client-side code must necessarily be transmitted to and executed by your browser in order for the Website to function. Technical access to such code does not, by itself, grant a license to reproduce, redistribute, or commercially exploit it.

6. Nexus Branding and Trademarks

The name Nexus, associated logos, product names, slogans, visual identity, and other identifying marks associated with Nexus may constitute trademarks or other protected identifiers of Nawrass Andaloussi Dahman or their respective owners.

This License does not grant permission to use Nexus trademarks or branding except as reasonably necessary to identify or refer to Nexus in a truthful and non-misleading manner.

You may not use Nexus branding in a manner that:

suggests unauthorized endorsement or sponsorship;
suggests an official partnership or affiliation;
implies ownership of Nexus;
misrepresents the origin of a product or service; or
creates confusion about your relationship with Nexus.

Any other use of Nexus branding requires prior written authorization.

7. Third-Party Materials

The Website may contain or reference third-party software, open-source components, fonts, icons, images, trademarks, services, APIs, documentation, or other materials.

Third-party materials remain the property of their respective owners and may be governed by separate licenses or terms.

Where a third-party license grants rights or imposes obligations concerning a particular component, that license governs that component to the extent required by its terms.

Nothing in this License is intended to restrict rights granted under applicable third-party licenses, including open-source licenses.

8. Third-Party Websites and Services

The Website may contain links to websites, services, or resources operated by third parties.

Nexus does not necessarily control or endorse third-party websites or services. Their content, availability, terms, and privacy practices are governed by their respective operators.

Your use of third-party websites and services is subject to their applicable terms, policies, and licenses.

9. Downloads

The Website may provide downloads of the Nexus desktop application, updates, documentation, or other files.

Downloading a file does not by itself grant rights beyond those provided by the license or agreement applicable to that file.

The Nexus desktop application is governed by the Nexus Software License and the Nexus End User License Agreement.

10. Website Availability

The Website and its content may be modified, updated, suspended, restricted, or discontinued at any time.

Content, documentation, downloads, features, and other Website materials may change without notice.

Nothing in this License requires Nawrass Andaloussi Dahman to maintain any particular Website feature, page, document, download, or service, except where required by applicable law.

11. No Warranty

To the maximum extent permitted by applicable law, the Website and its proprietary materials are provided "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express, implied, statutory, or otherwise.

Nothing in this License guarantees that the Website will be continuously available, error-free, secure, complete, accurate, current, or compatible with every device or browser.

Nothing in this section excludes or limits any warranty or legal right that cannot lawfully be excluded or limited.

12. Privacy

Information collected or processed through the Website is governed by the Nexus Privacy Policy, to the extent applicable.

The Website may also provide access to the Nexus application and Nexus Cloud Service, which are subject to their own applicable legal terms and privacy provisions.

13. Relationship to Other Nexus Terms

This Website License governs proprietary Website materials only.

Use of the Nexus desktop application is governed by the Nexus Software License and the Nexus End User License Agreement.

Use of the Nexus Cloud Service is governed by the applicable Nexus service terms and the Nexus End User License Agreement.

Privacy and personal-data processing are governed by the Nexus Privacy Policy.

This License does not expand or modify the rights granted under those separate agreements.

14. Changes to This License

This Website License may be updated from time to time.

The version published on the Website will govern use of the Website and its proprietary materials from its stated effective date, subject to applicable law.

15. Governing Law

Except to the extent mandatory law provides otherwise, this License is governed by the laws of the Kingdom of Morocco, without regard to conflict-of-law principles.

Any dispute arising from or relating to this License shall be submitted to the competent courts or authorities having jurisdiction under applicable law.

Nothing in this section limits any mandatory legal right or remedy that cannot lawfully be waived or restricted.

16. Severability

If any provision of this License is found invalid or unenforceable, it shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in effect.

17. Reservation of Rights

All rights not expressly granted under this License are reserved by Nawrass Andaloussi Dahman or the applicable third-party rights holder.

Nothing in this License grants any implied license, ownership interest, or other intellectual-property right except as expressly provided by applicable law.
