Nexus Software License

This Nexus Software License ("License") governs the license granted to you for the proprietary software components of Nexus. Nexus is created and developed by Nawrass Andaloussi Dahman, an independent developer based in Morocco.

Nexus is a proprietary desktop application that provides a local notes workspace, built-in web browser, knowledge graph, and optional AI Assistant. This License applies to the proprietary portions of the Nexus application and related software components, including versions 6.1.0 and later, unless a later version is accompanied by different license terms.

Nexus is not open-source software. Except for third-party components distributed under their own licenses, no right to copy, modify, distribute, publish, sublicense, or create derivative works from Nexus is granted except as expressly provided by this License, the Nexus End User License Agreement ("EULA"), applicable third-party licenses, or a separate written agreement signed by Nawrass Andaloussi Dahman.

1. Relationship to the Nexus EULA

This License supplements and forms part of the legal terms governing the Nexus software. Your use of Nexus is also governed by the Nexus End User License Agreement.

The EULA governs your broader use of the Nexus application and Nexus Cloud Service, including accounts, acceptable use, updates, termination, disclaimers, limitations of liability, indemnification, privacy, and other contractual matters.

This License primarily governs the intellectual-property rights and software license associated with the proprietary Nexus application.

If this License and the EULA conflict concerning the permitted use of the Software or the Nexus Cloud Service, the EULA controls to the extent of that conflict.

2. Proprietary Software

Nexus and its proprietary components are protected by applicable copyright, trademark, and other intellectual-property laws.

Proprietary components may include, where applicable:

compiled application binaries;
source code;
software architecture and implementation;
application design and visual presentation;
user-interface elements and original artwork;
proprietary functionality;
documentation and written materials;
logos, product names, and branding; and
other original materials created for or incorporated into Nexus.

Except for third-party materials governed by their own licenses, these components are owned by or licensed to Nawrass Andaloussi Dahman.

3. License Grant

Subject to your compliance with this License and the EULA, Nawrass Andaloussi Dahman grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use the compiled Nexus application on supported devices that you own or are authorized to control.

The license permits you to use Nexus for your personal purposes and for your own internal business purposes, subject to the restrictions in this License and the EULA.

This License grants you a right to use the Software only. It does not transfer ownership of Nexus or any intellectual-property rights to you.

No implied license is granted. All rights not expressly granted under this License remain reserved.

4. Restrictions

Unless expressly permitted by this License, the EULA, applicable third-party licenses, or mandatory applicable law, you may not:

copy, reproduce, or redistribute proprietary portions of Nexus;
publish, mirror, publicly host, or otherwise make proprietary portions of Nexus available to third parties;
sell, rent, lease, sublicense, assign, or transfer the Software or rights granted under this License;
modify, adapt, translate, or create derivative works from proprietary portions of Nexus;
reverse engineer, decompile, disassemble, or attempt to derive source code from Nexus, except to the extent such activity cannot legally be restricted;
extract, reproduce, or distribute proprietary source code or other proprietary materials;
remove, obscure, or alter copyright, trademark, licensing, attribution, or proprietary notices;
use proprietary portions of Nexus to create or provide a competing product or service in violation of the EULA or another applicable agreement;
circumvent or interfere with technical, security, licensing, authentication, access-control, or usage-restriction mechanisms;
use Nexus or its proprietary components to facilitate unauthorized access to the Nexus Cloud Service;
use a Nexus Cloud API key or other Nexus credentials to operate software or services outside authorized Nexus functionality; or
use Nexus in a manner prohibited by the EULA or applicable law.

Nothing in this License prohibits conduct that applicable law expressly permits and that cannot lawfully be restricted by agreement.

5. Source Code

The Nexus source code is proprietary and confidential intellectual property, except for portions that consist of or incorporate third-party components subject to separate licensing terms.

No right to access, inspect, copy, modify, publish, distribute, reproduce, or create derivative works from proprietary Nexus source code is granted under this License.

Access to a source repository, development build, debugging interface, or other development resource does not by itself grant any additional license or ownership rights.

Any authorized access to Nexus source code or repositories may be subject to additional written terms, confidentiality obligations, or repository-specific conditions.

6. Third-Party Software and Open-Source Components

Nexus includes or depends upon third-party software, libraries, frameworks, models, fonts, and other components that are distributed under licenses separate from this License.

Such components may include, among others, the Tauri application framework, React, TipTap, SQLite, Transformers.js, ONNX Runtime, PDF-generation libraries, syntax-highlighting libraries, and typefaces such as Inter, Space Grotesk, and JetBrains Mono.

Third-party components remain subject to their respective licenses. Where a third-party license grants rights or imposes obligations that apply to a particular component, that license governs that component to the extent required by its terms.

Nothing in this License is intended to restrict rights granted to you under an applicable open-source or other third-party license.

Applicable third-party notices and license information may be provided with the Software, within the application, or through an associated repository or documentation.

7. On-Device AI Models

Certain Nexus features may use machine-learning models that are downloaded to and executed on your device.

These models may include models used for semantic search, related-note suggestions, page analysis, conflict detection, or other local functionality.

Such models are third-party materials and may be subject to licenses separate from this License. Their availability, licensing terms, and technical requirements may change independently of Nexus.

Model files and associated runtime resources may be downloaded from third-party infrastructure. Ordinary network information, such as your IP address and request metadata, may therefore be visible to the infrastructure providing those files.

Once downloaded, applicable on-device models are designed to execute locally as described in the Nexus documentation and EULA.

8. Nexus Cloud Service

The Nexus Cloud Service is a separately operated service associated with Nexus and is governed by the Nexus EULA and Nexus Privacy Policy.

This License does not grant you any ownership or independent license to the infrastructure, server-side software, credentials, APIs, or other proprietary systems used to operate the Nexus Cloud Service.

Your rights and restrictions concerning the Nexus Cloud Service, including AI Assistant requests, API keys, accounts, usage limits, authentication, and third-party service providers, are governed by the EULA and applicable privacy terms.

9. User Content

This License does not claim ownership of content you create or store using Nexus.

Subject to the terms of the EULA and Nexus Privacy Policy, you retain your rights in your notes, text, images, files, messages, exports, and other content that you create or import into Nexus.

Nothing in this License transfers ownership of your content to Nawrass Andaloussi Dahman.

10. Trademarks and Branding

The name Nexus, associated logos, product names, branding, and other identifying marks may constitute trademarks or protected identifiers of Nawrass Andaloussi Dahman or their respective owners.

This License does not grant you permission to use Nexus trademarks, logos, or branding in a manner that suggests endorsement, sponsorship, affiliation, authorization, or ownership without prior written permission.

Third-party names, trademarks, and logos remain the property of their respective owners.

11. No Transfer of Ownership

Your possession or authorized use of Nexus does not give you ownership of the Software or any proprietary intellectual property contained in it.

Except for the limited rights expressly granted under this License, applicable provisions of the EULA, and applicable third-party licenses, all rights, title, and interest in the proprietary portions of Nexus remain with Nawrass Andaloussi Dahman or the applicable rights holder.

12. Updates and New Versions

Nexus may receive updates, upgrades, patches, modifications, or new versions.

Unless an update is accompanied by separate license terms, this License applies to the proprietary portions of the updated Software.

Nothing in this License requires Nawrass Andaloussi Dahman to provide updates, maintain a particular version, preserve a particular feature, or continue distributing the Software, except as required by applicable law or expressly agreed otherwise.

13. Term and Termination

The license granted under this License continues for as long as you comply with the applicable license terms and the EULA.

Your license may terminate as provided in the EULA or if you materially breach this License.

Upon termination of your license, you must cease using the proprietary portions of the Software and, to the extent reasonably practicable, delete copies of the Software in your possession, except where retention is required by law or reasonably necessary for legitimate archival, backup, or record-keeping purposes.

Termination does not transfer ownership of your content or require the deletion of local content except as otherwise provided by applicable law or the EULA.

14. Reservation of Rights

All rights not expressly granted under this License are reserved byNawrass Andaloussi Dahman or the applicable third-party rights holder.

No license, right, title, or permission is granted by implication, estoppel, exhaustion, or otherwise except to the extent expressly provided by applicable law.

15. Governing Terms

This License should be read together with the Nexus End User License Agreement.

The EULA contains the principal contractual terms governing your use of Nexus, including its disclaimers, limitations of liability, indemnification provisions, dispute provisions, and other legal terms.

Nothing in this License limits any mandatory right or protection that cannot legally be excluded or restricted under applicable law.
